ALTOUR HOTEL SOURCING TERMS & CONDITIONS

1 – Services. Detailed information on all Services provided, including fees shall be set forth in the Order Form and detailed Statement of Work.
2 – Fees; Payment. Client agrees to pay the Fees set forth in the Order Form. ALTOUR may, upon five (5) business days’ written notice to Client, suspend performance of the Services if payment is past due more than five (5) business days and may impose a 1.5% monthly compounding interest penalty on invoices more than thirty (30) days past due. Any such suspension shall not relieve Client of its payment obligations, and ALTOUR shall not be liable for any delays in the hotel program timeline resulting from such suspension. This suspension right does not apply to charges contested in good faith with written notice to ALTOUR. If payment by credit card is elected, a processing fee of 4.5% will be added to the amount due.
3 – Confidentiality. Each Party agrees to preserve the confidentiality of all terms of this Agreement and any confidential or proprietary information received from the other Party (“Confidential Information”), using at least the same degree of care it employs for its own confidential information, but never less than a reasonable degree of care. Confidentiality obligations do not apply to information that is: (a) in aggregate form not specifically attributable to the disclosing Party; (b) already known to the receiving Party free of restriction; (c) learned from an independent third party free of restriction; (d) publicly available; or (e) required by applicable law or court order to be disclosed. ALTOUR may use or disclose Confidential Information in connection with performing the Services or providing, marketing, or offering ALTOUR or third-party products and services, including disclosing Confidential Information to third-party service providers bound to keep that information confidential. ALTOUR may create anonymized, aggregated, and/or de-identified data (removing Confidential Information or any Personal Information that can be used to identify or trace to any particular user or customer), which ALTOUR may use for its business, analytics, and research purposes, including disclosing, sharing, or selling such data to its partners, service providers, and/or other third parties for research, marketing, or promotional purposes.
4 – Cancellation Policy. In the event Client wishes to cancel the Services, in whole or in part, ALTOUR will invoice Client for all Fees earned and costs incurred by ALTOUR through the date of cancellation, including work performed in connection with RFP issuance, hotel negotiations, and related project management. For any partially completed Services, ALTOUR will charge an hourly rate of $150.00 per hour for time invested. A final accounting of cancellation costs will be presented to Client as soon as practicable following cancellation and will itemize all cancellation charges. In the event that fees previously paid by Client exceed such costs, the difference will be credited to Client. Cancellations must be confirmed to ALTOUR in writing.
5 – Rebooking Policy. In the event Client postpones the hotel program and requests that Services be performed for an alternate program year, Client will be responsible for payment to ALTOUR for all time incurred in the original program at an hourly rate of $150.00 per hour, plus any third-party costs incurred by ALTOUR. ALTOUR will provide Client with a breakdown of all costs incurred and will apply any prepaid fees toward the rebooked program. Rebooking is subject to ALTOUR resource availability and may require revised pricing.
6 – Limitation of Liability. NOTWITHSTANDING ANYTHING IN THIS AGREEMENT TO THE CONTRARY, IN NO EVENT SHALL ALTOUR’S AGGREGATE LIABILITY FOR ALL CLAIMS, DAMAGES, LAWSUITS, LOSSES, AND CAUSES OF ACTION ARISING UNDER OR RELATING TO THIS AGREEMENT (WHETHER IN CONTRACT, TORT, WARRANTY, OR OTHERWISE) EXCEED THE AMOUNT OF SERVICE FEES PAID AND/OR PAYABLE (EXCLUSIVE OF FEES PAID FOR TRAVEL SUPPLIERS’ TICKETS, RESERVATIONS, AND SERVICES) DURING THE TWELVE (12) MONTHS PRECEDING THE DATE THE MOST RECENT CLAIM AROSE. NEITHER PARTY NOR ITS SUBSIDIARIES, AFFILIATES, AGENTS, EMPLOYEES, REPRESENTATIVES, OR THIRD-PARTY SERVICE PROVIDERS SHALL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES OF ANY KIND (INCLUDING LOST REVENUES, LOST SAVINGS, LOST PROFITS, OR LOST BUSINESS), ARISING FROM OR RELATING TO THIS AGREEMENT, EVEN IF ADVISED OF SUCH POTENTIAL DAMAGES.
7 – Disclaimer. In all matters relating to the hotel consulting services contemplated herein, including hotel sourcing, rate negotiations, RFP management, and related advisory services, ALTOUR acts solely as a consultant and service provider and not as a guarantor or insurer of any hotel, venue, or other third-party supplier. ALTOUR does not guarantee or insure the services, rates, or availability to be provided by any hotel or supplier and assumes no responsibility for any acts, omissions, defaults, or failures of any hotel or supplier. Client acknowledges that negotiated rates and terms are subject to the applicable hotel’s own terms and conditions, and ALTOUR shall have no liability for any hotel’s failure to honor negotiated rates or terms.
8 – Force Majeure. Neither Party shall be liable for any failure or delay in performance resulting from circumstances beyond their reasonable control, including acts of God or nature, government intervention, pandemics, epidemics, outbreaks of infectious disease, laws or government acts restricting travel, satellite or network failures, unauthorized access or theft, acts of terror, or labor disputes or strikes.
9 – Term and Termination. The Term is as set forth in the Order Form. Either Party may terminate this Agreement in the event of a material breach by the other Party that is not cured within thirty (30) days (five (5) days for non-payment) after written notice specifying the breach.
10 – General. (a) Entire Agreement. This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements. Amendments require a writing signed by both Parties. Failure to enforce any term is not a waiver. (b) Assignment. Neither Party may assign this Agreement without the other’s prior written consent, except to a parent, affiliate, subsidiary, or successor-in-interest that acquires all or substantially all of its assets. (c) Non-Exclusivity. This Agreement is non-exclusive. (d) Relationship of Parties. ALTOUR is an independent contractor, not an employee or agent of Client. (e) Intellectual Property. ALTOUR retains all intellectual property created in connection with the Services. Client receives a limited, non-exclusive, royalty-free, non-transferable license during the Term to use intellectual property ALTOUR provides for the purpose of using the Services. (f) Governing Law; Dispute Resolution. This Agreement is governed by the laws of New York. Disputes shall be escalated to senior-level executives prior to arbitration. Unresolved disputes shall be submitted to binding arbitration in New York, NY, administered by the American Arbitration Association. Disputes shall be arbitrated individually, not on a class or representative basis. (g) Notices. All notices shall be in writing to: Altour Delaware, LLC, c/o Internova Travel Group, LLC, 1633 Broadway, 35th Floor, New York, NY 10019, Attention: General Counsel, Email: [email protected]; and if to Client, at the address and email address provided in the Order Form. (h) Survival. Sections 2, 3, 4, 5, 6, 7, 8, 9, and 10 survive termination or expiration.
